This Service Agreement, (this “Agreement” or “Terms of Service Agreement” in combination) is made effective as of (the "Effective Date"), by and between ALGOPTI^® LLC (the "Owner", "Company", "we", "us" or "our"), and       (the "Subscriber/Licensee", "You"), of .

 SECTION 1:  SERVICE AGREEMENT

This is a special crowdfunding pre-sale purchase. By signing this agreement you, the Subscriber hereby acknowledge and accept that the Algopti^® Web Application is currently undergoing development and will not be immediately delivered with all the advertised features.  It is estimated that early release beta access will be available as early as January 2021, and a complete production release of Algopti is planned as early as May 2021 or sooner.  It is in Algopti's best' interest to deliver a complete production release of Algopti as soon as possible because we will be providing you free beta release access and won't re-bill your subscription until 12 months after we've delivered the complete production release of the Algopti.  A complete production release constitutes a release of the following modules within the Algopti Platform: Signals Engine, Screener Engine, Options Analytics Engine and Trade Engine. Although we provide a 100% guarantee that the complete Algopti web application service will be made available to you the Subscriber, we cannot guarantee an exact release timeframe due to many factors involved in developing a highly complicated software application.  

For an annual rate of {{order_subtotal}} / yr plus a modest 3% payment processing fee. The Subscriber shall be entitled access to the following services from ALGOPTI^® LLC:

1. 12 months non-commercial, private single user access to the ALGOPTI^® web application and associated training content immediately following the production release. 
2. Early access to beta editions of Algopti are extended as an exclusive crowdfunding backer bonus free of additional charge. 
3. 12 months of 100% commission free stock & options trading & zero per contract options fees for US stock options. Zero per contract options fees do not apply to single listed index options. This offer is only valid through Tradier Brokerage, therefore, the Subscriber must open and link a Tradier account with the Algopti application. Tradier Brokerage Inc. charges for exchange, OCC and regulatory fees. Other fees and applicable minimums may apply see Tradier's fee schedule for more details.  Algopi does not receive any fees or commissions for referring you to Tradier Brokerage.  On the contrary Algopti pays a recurring monthly fee to Tradier per linked account to provide you commission free trading. 
4. Free feature updates to the software software application. Our research and development is ongoing so anytime include additional features or integrate new proven trading patterns into our system we will give you the updates for no additional charge for the duration of your subscription.
5. E-mail and ticket based support pertaining to technical issues with our software package and membership materials.

PAYMENT & REFUNDS

You, the Subscriber will be charged a non-refundable fee of {{order_subtotal}} USD today plus a modest 3% payment processing fee.  Your subscription will be active for a period of 12 months immediately following the complete production release of Algopti.  Early access to beta editions of Algopti are extended as an exclusive crowdfunding backer bonus free of additional charge. 

On each yearly anniversary following the complete production release access of Algopti, your subscription will automatically renew for your convenience at the rate of {{order_subtotal}} USD plus a modest 3% payment processing fee.  You may cancel your subscription at anytime through your membership management area and you will not be re-billed. 

By signing this agreement and completing your first payment with us, you expressly understand and agree that any fees you pay us are non-refundable.

TRADIER BROKERAGE PARTNERSHIP AGREEMENT

We have established a relationship with Tradier Brokerage Inc. to get our subscribers 100% commission free Stock and Options Trading and ZERO Per Contract Options Fees for US Stock Options.  Single listed index options are subject to a per contract fee as outlined in Tradier's Fee Schedule.   Tradier Brokerage Inc. charges for exchange, OCC and regulatory fees. Other fees and applicable minimums may apply see Tradier's Fee Schedule for more details.  Algopti subscribers are required to open and link a Tradier Brokerage account to the Algopti application to redeem the offer for commission free trading.  Algopti pays Tardier a flat rate monthly fee for each subscriber to offer our subscribers Commission Free trading as part of their subscription with us.  The terms of this offer are subject to change at any time dependent on any material change in Algopti's relationship with Tardier Brokerage Inc.  If Tardier Brokerage discontinues it's flat rate pricing agreement with Algopti or materially changes their trading commission pricing policy you agree and accept that Algopti will alter the terms of this offer accordingly and notify of such change by e-mail, via the website messaging portal or any other available communication means.  You are strongly encouraged to independently evaluate and review Tardier Brokerage Inc. before opening an account with them. 

Algopti LLC, its owners, directors, employees, agents or associates ("we") are not responsible for any fees incurred by your Tradier Brokerage Account. As long as our partnership agreement with Tradier remains unaltered, we will continue to pay Tradier Brokerage Inc. a pre negotiated flat monthly fee on behalf of your Tradier brokerage account for the effective period of your subscription to Algopti to get you commission free stock and options trades. Otherwise, we is not responsible for any other fees whatsoever, charged to your brokerage account by Tradier Brokerage Inc.  We are in no way shape or form responsible for the management, maintenance, handling or trading of your brokerage account and will never offer to take such responsibility. Any issues whatsoever you may encounter with your Tradier Brokerage Account, must be resolved directly by you with Tradier Brokerage Inc.
